1. Purpose and Scope
These Host Terms describe the framework under which venues ("Hosts") host Totemian Brandboard screens. Each hosting relationship is governed by an individual hosting agreement between Totemian Brandboards Inc. and the Host; where a signed hosting agreement differs from these Host Terms, the hosting agreement prevails. These Host Terms are incorporated by reference into hosting agreements that refer to them.
2. What Hosting Means
Totemian supplies, installs, owns, and operates the screen at the Host venue at no charge to the Host. The Host provides the installation location, electrical power, and backup internet connectivity. Totemian operates the screen remotely through its content-management system and maintains it in accordance with the host provisions of the Totemian Service Levels & Support Policy (totemian.com/legal/service-levels, Sections 4A to 4D).
3. What Hosts Receive
Hosts are trusted venue partners of the Totemian network (see the Totemian Content & Publishing Guidelines, Section 2.1). Under their hosting agreement, Hosts receive:
- a share of screen time dedicated to the introduction and promotion of the Host's own venue and business, as set out in the hosting agreement;
- venue category protection — by default, advertising from a direct competitor in the Host's primary business category is not scheduled on the screen at the Host's venue (Guidelines, Section 7.1);
- the right to object to a specific advertiser being scheduled at the Host's venue, on the terms set out in the Guidelines, Section 7.2;
- installation and activation within the periods set out in the Service Levels & Support Policy, Section 4B, and the make-good stated there if Totemian is late;
- support response times as set out in the Service Levels & Support Policy, Section 4A;
- the creative services described in the Service Levels & Support Policy, Section 4D;
- a monthly report showing the content that played at the venue, the Host's share of screen time, network exposure of the Host's own content, and revenue-share activity; and
- identification as a Totemian partner venue.
4. Host Responsibilities
The Host:
- provides safe access for installation, maintenance, and removal;
- maintains continuous power and internet connectivity to the screen;
- does not obstruct, cover, move, adjust, or interfere with the screen or its connections;
- promptly reports damage or malfunction to support@totemian.com, through the QR code displayed on the Brandboard frame, or at totemian.com/technical-support;
- responds within a reasonable period to requests from Totemian for materials, information, or approval that Totemian requires in order to perform a service for the Host, and acknowledges that where no response is received, Totemian may proceed as set out in the Service Levels & Support Policy, Section 4C; and
- ensures that content it submits for its promotional share complies with the Totemian Content & Publishing Guidelines.
5. Host Content Rules
The Host's promotional share may be used for the Host's own products, services, events, and offers, and for community content approved by Totemian. It may not be used to advertise third-party businesses, and it may not be sold, sublicensed, exchanged, or transferred to any third party (Guidelines, Sections 6 and 8). Host content passes the same compliance review as advertiser content.
6. Screen Ownership and Care
The screen and related equipment remain the property of Totemian at all times. Totemian is responsible for maintenance and repairs arising from ordinary use. Responsibility for damage arising from negligence or misuse at the venue is addressed in the hosting agreement. On the ending of a hosting relationship, Totemian removes its equipment at its own cost and restores the mounting surface to a reasonable condition.
7. Ending a Hosting Relationship
Commencement, duration, and termination of hosting are governed by the individual hosting agreement. Obligations that by their nature continue (including confidentiality and accrued rights) survive as set out in that agreement.
